Terms of Service (Business App)

These Terms of Service ("Terms") constitute a legally binding agreement between **Voralin** (I.E. Alireza Abedi, Tbilisi, Georgia) and the **Salon Partner** (including Salon Owners, Managers, and Staff). By registering a business, accepting a staff invitation, or using the Voralin Business App, you agree to these Terms.

### 1. Key Definitions
* **"Salon Owner":** The primary business owner possessing ultimate administrative control over the salon profile, bank details, and subscriptions.
* **"Manager":** An administrator invited by the Salon Owner with delegated management access over appointments, services, and staff.
* **"Staff" / "Specialist":** An individual service provider listed under the salon’s roster.
* **"Voralin Pro Social Link":** A unique direct-booking URL provided to the salon to allow clients to book directly from social media platforms (Instagram, TikTok, Facebook, etc.).
* **"New Customer":** A customer booking through the Voralin Customer App who has **never booked with your salon before**, OR a customer who **has not booked an appointment at your salon for six (6) consecutive months or more**.
* **"Marketplace Booking":** An appointment initiated by a user browsing the Voralin Customer App.

### 2. Commission Structure & Platform Fees
Voralin operates a transparent, performance-based pricing model:
#### A. Voralin Pro Social Link (0% Commission)
* **Zero Commission:** If a customer books an appointment through your unique **Voralin Pro Social Link**, Voralin charges **0% platform commission**.
* **Fixed Subscription:** Salons utilizing the Voralin Pro Social Link pay only a flat monthly subscription fee of **$29.99 USD / month** (or local currency equivalent) via Apple In-App Purchase.
#### B. Marketplace Bookings (10% Commission on New Customers Only)
* **First 3 Appointments:** For customers brought to your salon via the Voralin Customer App marketplace, Voralin charges a **10% platform commission** on the booked service value for the **first three (3) appointments** of that **New Customer**.
* **6-Month Reactivation Rule:** If an existing customer does not book an appointment at your salon for **six (6) consecutive months or more**, the system automatically reclassifies them as a New Customer upon their next Customer App booking. The 10% commission will apply to their next three (3) appointments.
* **No Commission on Established Regulars:** From the 4th appointment onward for active customers, no marketplace commission is charged.
#### C. Commission Collection Mechanism
* For commissionable New Customer bookings, Voralin collects a **10% Deposit** directly from the Customer via the app at the time of confirmation.
* The Customer pays the remaining **90%** of the service price directly to your salon at the appointment.
* Because the customer pays 10% less at your salon, Voralin’s 10% platform commission is settled automatically at no out-of-pocket billing cost to the salon.

### 3. Cancellations & Forfeited Deposits
* If a Customer cancels a confirmed booking after paying their 10% Deposit or fails to attend (no-show), the Deposit is non-refundable to the customer and is **retained fully by Voralin** as platform handling compensation for calendar slot reservation.
* If a Salon cancels a confirmed appointment, the 10% Deposit is refunded in full to the Customer's wallet. Repeated cancellations by the salon may lead to search ranking demotions or account review.

### 4. Voralin Pro Subscriptions (Apple StoreKit Terms)
1. **Subscription Pricing:** $29.99 USD per month (auto-renewable).
2. **One-Time Free Trial:** Eligible salons may activate a **one-month (30-day) free trial**. Each salon is strictly entitled to **one (1) free trial ever**. Once a salon has used its trial, it cannot reactivate another trial and must maintain a paid subscription to access Pro features.
3. **Billing & Auto-Renewal:** Subscriptions are billed directly through your **Apple ID** (StoreKit). Subscriptions automatically renew unless cancelled at least 24 hours prior to the end of the billing period.
4. **Cancellation:** You may cancel your subscription at any time via your iOS device settings (**Apple ID > Subscriptions**). Cancellations take effect at the end of the current paid billing cycle with no mid-term refunds.

### 5. Salon Obligations & Service Warranties
1. **Accurate Information:** You must maintain accurate pricing, service durations, operating hours, and staff availability.
2. **Honoring Bookings:** You agree to honor all confirmed Voralin appointments and not demand additional charges above the confirmed platform rate.
3. **Safety & Licensing:** You warrant that all staff members are qualified, trained, and licensed according to applicable Georgian regulations and health standards.
4. **Independent Responsibility:** You bear sole legal liability for any physical injury, allergic reaction, damage, or customer dispute resulting from services provided at your salon.

### 6. Limitation of Liability
To the fullest extent permitted by Georgian law, Voralin shall not be liable for any lost profits, lost business opportunities, customer disputes, or indirect damages arising from the use of the platform.

### 7. Account Deletion & Termination
* Staff, Managers, and Owners can delete their account at any time using the in-app **Delete Account** button.
* Voralin reserves the right to suspend or terminate any salon account that engages in off-platform circumvention, fraudulent booking manipulation, or safety violations.

### 8. Governing Law & Dispute Resolution
These Terms are governed by the **laws of Georgia**. All disputes shall be resolved exclusively in the **courts of Tbilisi, Georgia**.
